HorysOS Software Terms Agreement

1. Acceptance of Terms

By setting up or using the HorysOS operating system ("HorysOS"), you agree to be bound by this Software Terms Agreement (the "Agreement") with HORYS TECHNOLOGIES LTD, a company incorporated in the British Virgin Islands with company number 2119727, with its registered office at c/o Aleman, Cordero, Galindo & Lee Trust (BVI) Limited, 4th Floor, Omar Hodge Building, Road Town, Tortola, VG1110, British Virgin Islands ("Horys BVI"). If you do not agree with these terms, do not use HorysOS.

2. Licence Grant

Subject to this Agreement and to the applicable commercial terms communicated at purchase or activation of your device, Horys BVI grants you a personal, non-exclusive, non-transferable, non-sublicensable licence to use HorysOS on the device on which it is installed or activated. Open source components included in HorysOS remain governed by their own licences (see Clause 12).

3. Account and Local Storage

Where account creation is required, your account information is stored on your device unless expressly stated otherwise in the applicable feature documentation.

4. Age Requirements

You must be at least 18 years old to accept this Agreement, or have the permission of a parent or legal guardian if you are permitted by the law of your jurisdiction to use the software at a younger age. You must comply with any age restrictions applicable in your jurisdiction.

5. Fees

Use of HorysOS may be subject to activation or subscription fees as communicated at purchase or activation. Any fees are governed by the applicable commercial terms of your device supplier or of Horys BVI.

6. Updates, Support and Maintenance

Horys BVI may provide updates to HorysOS from time to time. Horys BVI endeavours to keep the software updated but has no obligation to provide support, maintenance, updates, upgrades or bug fixes. Updates may be downloaded and installed with your consent or, for security-critical updates, automatically where you have enabled automatic updates.

7. App Store and Third-Party Applications

HorysOS includes an application store (the "App Store") through which third-party applications, including open source applications, may be made available ("Apps"). Apps are developed and licensed by third parties, not by Horys BVI. Horys BVI packages Apps for technical compatibility with HorysOS as a convenience only; packaging or availability in the App Store is not an endorsement, review, approval or warranty of any App, of its lawfulness in your country, or of its safety, security or fitness for any purpose.

You alone decide whether to install, enable, use or remove an App. Installation of an App is your voluntary choice and is made at your sole risk. Each App is governed by its own third-party licence and terms, which you accept by installing or using the App, and you are responsible for complying with them. You are responsible for ensuring that your download, installation and use of each App is lawful in your jurisdiction. To the maximum extent permitted by applicable law, Horys BVI is not liable for any issue, loss or damage arising from any App, including third-party and open source Apps.

Horys BVI may at any time, without notice, add, update, disable, remove or discontinue any App in the App Store. Removal does not revoke rights you may hold directly under an applicable third-party licence.

8. Restrictions on Use

You may not use HorysOS for illegal activities. You may not reverse engineer, decompile or disassemble HorysOS except as permitted by applicable law or by the licence of the relevant open source component. You are solely responsible for your use of the software and for the consequences of that use.

9. Intellectual Property

All intellectual property rights in HorysOS, including copyright and trademarks, belong to Horys BVI or its licensors. Third-party Apps and open source components remain the property of their respective rights holders.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, HorysOS and the Apps are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, security and non-infringement. You assume all risks associated with using the software and any App.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Horys BVI shall not be liable for any direct, indirect, incidental, special or consequential damages arising from your use of, or inability to use, HorysOS or any App, including loss of data, loss of profits or business interruption.

12. Open Source Components

HorysOS and the Apps include open source components governed by their respective licences. The applicable licence texts and notices are available within the software or through the sources referenced in it. Where an open source licence grants you rights (including rights to source code), those rights are granted to you by the relevant rights holder under that licence, and nothing in this Agreement restricts them. You must comply with the terms of those licences.

13. Data Protection and Privacy

Information processed by HorysOS is described in the applicable privacy notice. Technical identifiers (such as IP addresses and device identifiers) may be processed by update and activation servers to provide updates and activation. You are responsible for complying with the data protection and privacy laws applicable to your own use of the software and the Apps.

14. Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations in your use of HorysOS and the Apps.

15. Indemnification

You agree to indemnify and hold harmless Horys BVI and its affiliates, officers, directors, employees and agents from any claims, damages or losses arising from your use of HorysOS or of any App, or from your breach of this Agreement or of an applicable third-party licence.

16. User Content and Data Backup

You are responsible for any content you create, store or process using HorysOS and for complying with applicable laws in relation to it. You are responsible for backing up your data; Horys BVI is not responsible for any loss of data.

17. Beta and Pre-Release Software

Beta or pre-release versions of HorysOS or of Apps may contain bugs or errors and are used entirely at your own risk.

18. Modification of Terms

Horys BVI may modify this Agreement at any time. The current version is made available within the software or at the address indicated in it, and continued use of HorysOS after a modification constitutes acceptance of the modified terms.

19. Severability and Waiver

If any provision of this Agreement is found unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the remaining provisions remain in full force. Failure by Horys BVI to enforce a provision is not a waiver of it.

20. Governing Law and Disputes

This Agreement is governed by the laws of the British Virgin Islands. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands, unless a mandatory consumer protection rule of your country of residence provides otherwise.

By using HorysOS, you acknowledge that you have read, understood and agree to be bound by this Software Terms Agreement.
